Terms & Conditions

Please read these terms carefully before engaging our services or using our website. By proceeding, you accept the terms set out below.

Definitions

  • "Bintang Works", "we", "our", or "us" refers to Bintang Works and its team operating from 51 Cuppage Road, #07-12, Singapore 229469.
  • "Client" or "you" refers to any individual or business entity that engages our services or uses our website.
  • "Services" refers to the advisory and integration services described on our website, including the Orientation Session, Connected Tools Setup, and Guiding Hand Retainer.
  • "Agreement" means these Terms and Conditions together with any service scope agreed in writing.
  • "Content" means text, documents, diagrams, notes, or other materials produced as part of the Services.

Acceptance of Terms

By using our website or engaging our Services, you confirm that you are at least 18 years of age, have the capacity to enter into a binding agreement, and accept these Terms in full. If you are acting on behalf of a business, you confirm that you have authority to bind that entity.

If you do not agree with any part of these Terms, please do not use our website or engage our Services.

Service Description

Bintang Works provides AI integration advisory services to small businesses in Singapore. Our current service offerings are:

  • Orientation Session (S$195): A single working session to map opportunities and provide a written set of notes and next steps.
  • Connected Tools Setup (S$330): Approximately two to three weeks of tool configuration, testing, and follow-up, with a staff walkthrough and written diagram.
  • Guiding Hand Retainer (S$555/month): An ongoing monthly engagement covering monitoring, adjustments, weekday support, and a quarterly written summary.

We reserve the right to adjust service scope by agreement with the Client. Any changes will be confirmed in writing before taking effect.

Client Responsibilities

To allow us to deliver our Services effectively, you agree to:

  • Provide accurate and complete information about your business systems and requirements
  • Make relevant staff available for walkthroughs and testing sessions at agreed times
  • Ensure that you hold the necessary licences or permissions for any third-party tools we are asked to configure on your behalf
  • Use our Services and any Content produced only for lawful business purposes
  • Not reproduce, distribute, or resell materials we produce without our prior written consent

Intellectual Property

All methodologies, templates, and know-how developed by Bintang Works remain our intellectual property. Written deliverables, diagrams, and opportunity maps produced specifically for your engagement are licensed to you for your own business use only, on a non-exclusive, non-transferable basis.

You retain ownership of all data, documents, and business information you provide to us. We do not claim any right over your underlying business content.

Fees and Payment

Service fees are as stated on our website and confirmed in writing before work begins. All fees are quoted in Singapore Dollars (SGD) and are inclusive of applicable goods and services tax (GST) unless otherwise stated.

  • Orientation Session and Connected Tools Setup: Payment is due before the commencement of work unless otherwise agreed.
  • Guiding Hand Retainer: Invoiced monthly in advance. Continued engagement beyond the first month constitutes acceptance of the renewal.

If a project is paused or cancelled at your request after work has begun, fees for work completed to that point remain payable. We will provide a clear account of work completed on request.

Confidentiality

We treat all business information shared with us as confidential. We will not disclose your business details, systems, or workflows to third parties except where required by law or where you have given explicit consent.

You agree to treat any methodologies, pricing, or proprietary information we share with you as confidential and not to disclose these to competitors or use them to replicate our services.

Disclaimers

Our Services are provided in good faith based on the information available at the time. We make no representation that any particular outcome will result from following our recommendations. Business results depend on many factors outside our control, including your team's implementation, market conditions, and the behaviour of third-party tools.

We are not a licensed technology vendor, software developer, or data processor. Our role is advisory. Where we configure third-party tools, we do so as your representative, and those tools remain subject to their own terms of service.

Limitation of Liability

To the fullest extent permitted by Singapore law, Bintang Works will not be liable for any indirect, consequential, or incidental losses arising from your use of our Services or website, including loss of data, loss of profit, or business interruption.

Our total liability to you in connection with any engagement will not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.

Indemnification

You agree to indemnify Bintang Works and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of third-party tools in a manner that violates their terms of service, or any misrepresentation you make to us in the course of an engagement.

Termination

Either party may end an ongoing engagement by giving 30 days' written notice. For the Guiding Hand Retainer, notice should be given before the next billing cycle to avoid an additional month's charge.

We reserve the right to suspend or end our Services immediately if you breach these Terms in a material way and do not remedy the breach within 14 days of written notice.

Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.

Dispute Resolution

These Terms are governed by the laws of Singapore. In the event of a dispute, we ask that you contact us first so we can try to resolve the matter informally. If the matter cannot be resolved within 30 days, either party may refer the dispute to the Singapore Mediation Centre or the courts of Singapore.

You agree that the courts of Singapore have exclusive jurisdiction over any dispute arising from these Terms.

General Provisions

  • Entire agreement: These Terms, together with any written service scope, constitute the entire agreement between us on their subject matter.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: A failure to enforce a provision at one time does not constitute a waiver of the right to enforce it at another time.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent.
  • Notices: Written notices should be sent to [email protected] or to our registered address.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date shown at the top of this page and post the updated Terms on our website. Continued use of our Services after an update constitutes acceptance of the revised Terms.
